Terms of Business

These terms provide a high-level summary of the basis on which Deshwal & Co may act for clients. The engagement letter will take precedence for any specific instruction.
Scope of Services
The scope of any work we undertake will be set out in the relevant engagement letter. Nothing on this website creates an engagement or obligation to provide services.
Client Responsibilities
Clients are responsible for providing complete and accurate information on a timely basis and for ensuring their own compliance with applicable legal and tax obligations.
Fees and Payment
Our fees and payment terms will be set out in the engagement letter or otherwise agreed in writing. We reserve the right to suspend work where invoices remain unpaid.
Identity Verification
We are required to carry out identity verification under applicable regulations.
Confidentiality
We will keep client information confidential except where disclosure is required or permitted by law, regulation, or professional obligation.
No Audit
We do not carry out an audit or other assurance engagement unless this is expressly agreed in writing.
Limitation of Liability
Our liability in connection with any engagement shall, to the extent permitted by law, be limited to the level of our professional indemnity insurance applicable at the relevant time. Nothing in these terms limits liability that cannot lawfully be limited.
Termination
Either party may terminate the engagement in accordance with the engagement letter or by reasonable written notice, subject to any legal or regulatory requirements.
Governing Law
These terms and any engagement with us are governed by the laws of England and Wales.
